These Terms & Conditions ("Terms") govern your access to and use of the website https://seoulstreet.in and any services, content or products made available through it (together, the "Platform"). The Platform is owned and operated by Unigrow Company, having its place of business at B300A, New Panchwati Colony, Ghaziabad, Uttar Pradesh, India – 201001 ("Unigrow Company", "Seoul Street", "we", "us", "our").

This document is an electronic record published in accordance with the Information Technology Act, 2000 and the rules made thereunder, and does not require any physical or digital signature.

1. Definitions

• "User", "you" — any person who accesses, browses or transacts on the Platform.
• "Product" — any item listed for sale on the Platform.
• "Order" — a request placed by you through the Platform to purchase one or more Products.
• "Content" — all text, images, graphics, logos, product descriptions, videos, layouts and software forming part of the Platform.

2. Eligibility

You may use the Platform only if you are at least 18 years of age and competent to enter into a contract under the Indian Contract Act, 1872. If you are a minor, you may use the Platform only under the supervision of a parent or legal guardian who agrees to these Terms on your behalf and accepts responsibility for your activity. We reserve the right to terminate any account or refuse any Order where we have reason to believe this requirement is not met.

3. Your Account

• You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
• You agree to provide accurate, current and complete information at registration and at checkout, and to keep it updated. Delivery failures caused by incorrect or incomplete information are your responsibility.
• You must notify us immediately at support@seoulstreet.in of any unauthorised use of your account.
• We may suspend or terminate an account, without notice, where we reasonably suspect fraud, abuse, a breach of these Terms, or activity that harms other users or the Platform.

4. Products, Descriptions and Pricing

• We take reasonable care to describe Products accurately. However, product images are illustrative. Actual colour, shade, packaging, texture and fragrance may vary from what is shown on your screen, and manufacturers may revise packaging or formulations without notice.
• All prices are listed in Indian Rupees (INR ₹) and are inclusive of applicable taxes unless stated otherwise on the product page or at checkout. Shipping charges, where applicable, are shown separately at checkout before payment.
• Prices, offers, coupons and product availability may change at any time without prior notice. The price applicable to an Order is the one displayed at the moment the Order is confirmed.
• Products are subject to availability. Listing a Product on the Platform is an invitation to offer and does not constitute a binding offer to sell.
• In the event of an obvious pricing or listing error, we are not obliged to fulfil the Order at the erroneous price. We will cancel the affected Order and refund any amount paid in full.
• Cosmetic and personal-care Products are supplied on an "as-is" basis as received from the manufacturer or authorised distributor. Any warranty in respect of a Product is the manufacturer's warranty; Unigrow Company gives no independent warranty as to results, suitability for a particular skin type, or freedom from allergic reaction.

5. Orders and Formation of Contract

1. Placing an Order constitutes an offer by you to purchase the Product on these Terms.
2. An order confirmation email is an acknowledgement of receipt only, and does not amount to acceptance of your offer.
3. A binding contract of sale arises only when the Order is dispatched and a dispatch confirmation is sent to you.
4. We may decline or cancel an Order at our discretion, including for the reasons set out in our Return, Refund & Cancellation Policy. Where a declined or cancelled Order has been paid for, the full amount is refunded.

6. Payments

• Payments on the Platform are processed through third-party payment gateways and payment aggregators authorised by the Reserve Bank of India. Your use of those services is additionally subject to the terms and privacy policies of the relevant provider.
• Unigrow Company does not collect, process or store your complete card number, CVV, PIN, net-banking password, UPI PIN or any other payment credential. These are captured directly by the payment gateway on its own PCI-DSS compliant infrastructure.
• We are not responsible for any loss arising from a payment declined by your bank, a transaction failure at the gateway, insufficient funds, an expired card, or a limit imposed by your bank or card issuer.
• You represent that any payment instrument you use belongs to you and that you are lawfully authorised to use it. Use of a payment instrument without authorisation is a criminal offence, and we cooperate fully with law-enforcement and banking authorities in the investigation of such matters.
• An Order is processed only after payment authorisation has been received. Where a payment is later reversed, charged back or found to be fraudulent, we may cancel the Order and withhold delivery.
• Where an amount is debited but the Order is not confirmed, it is ordinarily auto-reversed by your bank within 5 to 7 business days. See our Return, Refund & Cancellation Policy.

7. Shipping and Delivery

Delivery is made through third-party logistics partners. Estimated delivery timelines shown on the Platform are indicative and are not guaranteed. Risk in a Product passes to you on delivery to the address you provide. Full details are set out in our Shipping Policy. We currently ship within India only, unless expressly stated otherwise on the Platform.

8. Returns, Refunds and Cancellations

All returns, replacements, refunds and cancellations are governed exclusively by our Return, Refund & Cancellation Policy, which forms part of these Terms. Please read it carefully, in particular the categories of Product that are not eligible for return for reasons of hygiene.

9. Coupons, Offers and Promotions

• Coupons and promotional offers are valid only for the period, on the Products, and subject to the conditions stated at the time of the offer.
• Unless expressly permitted, offers cannot be clubbed, are not transferable, and hold no cash value.
• We may withdraw or modify any offer at any time without prior notice, and may cancel an Order and void a coupon where we detect misuse, bulk exploitation, or the creation of multiple accounts to claim an offer.

10. Intellectual Property

All Content on the Platform — including the "Seoul Street" name and logo, the "Unigrow Company" name, the site design, layout, graphics, photographs, copy and software — is the property of Unigrow Company or of its licensors, and is protected under the Copyright Act, 1957, the Trade Marks Act, 1999 and other applicable laws. Third-party brand names, trademarks and product images displayed on the Platform remain the property of their respective owners and are used solely to identify the Products offered for sale.

You may view and print Content for your personal, non-commercial use only. You may not copy, reproduce, republish, distribute, scrape, mirror, frame, or create derivative works from any part of the Platform without our prior written consent.

11. Acceptable Use

You agree not to:

• Use the Platform for any unlawful, fraudulent or malicious purpose, or in breach of any applicable law.
• Post or transmit content that is defamatory, obscene, infringing, harassing, or otherwise objectionable.
• Impersonate any person, or misrepresent your affiliation with any person or entity.
• Introduce any virus, trojan, worm or other malicious code, or attempt to gain unauthorised access to the Platform, its servers, or any connected system.
• Use any robot, spider, scraper or automated means to access the Platform, or to harvest data or prices from it.
• Interfere with the proper working of the Platform, including by circumventing any security or rate-limiting measure.
• Purchase Products for commercial resale without our prior written authorisation.

12. Reviews and User Submissions

Where the Platform allows you to submit reviews, ratings, photographs or comments, you grant Unigrow Company a non-exclusive, royalty-free, worldwide, perpetual licence to use, reproduce, adapt and display that submission in connection with the Platform and our marketing. You warrant that the submission is your own, is truthful, and does not infringe the rights of any third party. We may moderate, edit or remove any submission at our discretion, including submissions that are fake, incentivised, defamatory or promotional.

13. Third-Party Links and Services

The Platform may contain links to third-party websites, and relies on third-party payment gateways, logistics partners and analytics providers. We do not control those third parties and are not responsible for their content, practices or policies. Any dealings you have with them are solely between you and that third party.

14. Disclaimer of Warranties

The Platform and the Products are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Platform will be uninterrupted, secure, or free from errors, or that any defect will be corrected.

Cosmetic, skincare and personal-care Products may cause an adverse reaction in some individuals. You are responsible for reading the ingredient list and the manufacturer's instructions, for conducting a patch test before first use, and for consulting a qualified medical practitioner where you have a known allergy, a skin condition, or any doubt about suitability. Nothing on the Platform is medical advice.

15. Limitation of Liability

To the maximum extent permitted by applicable law, Unigrow Company, its proprietors, employees and agents shall not be liable for any indirect, incidental, special, consequential or punitive loss, or for any loss of profit, goodwill, data or opportunity, arising out of or in connection with your use of the Platform or any Product.

In any event, our aggregate liability in respect of any claim arising out of an Order shall not exceed the total amount actually paid by you for that Order.

Nothing in these Terms excludes or limits any liability that cannot lawfully be excluded or limited, including any right you may have as a "consumer" under the Consumer Protection Act, 2019.

16. Indemnity

You agree to indemnify and hold harmless Unigrow Company, its proprietors, employees, agents and partners from and against any claim, demand, loss, liability, cost or expense (including reasonable legal fees) arising out of your breach of these Terms, your violation of any law, or your infringement of the rights of any third party.

17. Force Majeure

We are not liable for any delay in, or failure of, performance caused by an event beyond our reasonable control, including an act of God, flood, fire, earthquake, epidemic or pandemic, war, civil unrest, strike, riot, government order or restriction, failure of a public utility or telecommunications network, cyber-attack, or the failure of a logistics or payment partner.

18. Termination

We may suspend or terminate your access to the Platform at any time, with or without cause, and without notice. Sections that by their nature should survive termination — including Intellectual Property, Disclaimer of Warranties, Limitation of Liability, Indemnity and Governing Law — shall survive.

19. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of India. Subject to Section 20, the courts at Ghaziabad, Uttar Pradesh, India shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms or your use of the Platform. Nothing in this clause affects the statutory right of a consumer to approach a consumer forum having jurisdiction under the Consumer Protection Act, 2019.

20. Dispute Resolution

In the first instance, please raise any dispute with our support team and, if unresolved, with our Grievance Officer, as described in our Support Policy. We are committed to resolving disputes amicably and promptly.

21. Grievance Officer

In accordance with the Information Technology Act, 2000 and the Consumer Protection (E-Commerce) Rules, 2020:

Complaints are acknowledged within 48 hours and redressed within 30 days of receipt.

22. General

• Amendment. We may revise these Terms at any time. The revised Terms take effect when published on this page, and your continued use of the Platform thereafter constitutes acceptance. Please check this page periodically.
• Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions continue in full force.
• No waiver. A failure to enforce any provision is not a waiver of our right to enforce it later.
• Assignment. You may not assign your rights under these Terms. We may assign ours to a successor in interest.
• Entire agreement. These Terms, together with the policies incorporated by reference, constitute the entire agreement between you and Unigrow Company in respect of the Platform.
